1. Introduction

Welcome to IntentFox. These Terms of Service ("Terms") govern your access to and use of https://intentfox.cloud and the IntentFox platform (collectively, the "Service"), operated by Utkarsh Singh doing business as Vantage Harbour ("Company", "we", "us", or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

3. Acceptance of Terms

By using the Service, you represent and warrant that:

• You are at least 18 years old (or the age of majority in your jurisdiction)
• You have the legal capacity to enter into these Terms
• You will comply with all applicable laws and regulations

4. The Service

IntentFox monitors public Reddit posts in subreddits you configure, scores them for buying intent against your agency's service context using AI, and delivers qualified opportunities to Slack with optional AI-written outreach drafts.

No automated outreach. IntentFox does not auto-comment, auto-DM, or post to Reddit on your behalf. A human must review and send any outreach.

5. User Responsibilities

5.1 Provide Accurate Information

You agree to provide true, accurate, and complete information when configuring your workspace (agency name, subreddits, Slack webhook URL). You must promptly update any information to keep it current.

5.2 Maintain Account Security

You are responsible for the confidentiality of your account and all activities under it. You must immediately notify us at vantageharbour@gmail.com of any unauthorised use or security breach.

5.3 Comply with Laws

You agree to use the Service only for lawful purposes and in compliance with all applicable laws, including Reddit's Terms of Service, Slack's Terms of Service, and any applicable data protection laws.

5.4 Respect Intellectual Property

You agree to respect all copyright, trademark, and other intellectual property rights. You will not copy, distribute, or create derivative works from any Service content without authorisation.

6. Prohibited Activities

You agree NOT to:

• Use IntentFox to harass, spam, or send unsolicited bulk communications
• Attempt to reverse-engineer, scrape, overload, or resell the Service without our written permission
• Use the Service for any purpose other than legitimate B2B outreach related to your agency's services
• Upload, transmit, or distribute malware, viruses, or malicious code
• Attempt to gain unauthorised access to any part of the Service or other users' accounts
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity
• Violate Reddit's rules, Slack's rules, or any applicable law while using leads delivered by the Service

7. Intellectual Property

All content, features, and functionality of the Service — including text, graphics, logos, software, and design — are owned by Vantage Harbour and protected by copyright, trademark, and other applicable laws.

The IntentFox name, logo, and all related names, logos, and product names are trademarks of Vantage Harbour. You may not use such marks without our prior written permission.

You retain ownership of any content you submit (e.g. agency name, service description). You grant us a limited licence to use that content solely to operate and provide the Service.

8. Accounts and Billing

8.1 Subscription Plans

IntentFox offers paid subscription plans (Starter, Pro) billed via Polar (Merchant of Record). Polar handles all payment processing, tax collection (VAT/GST), and invoicing globally.

8.2 Pricing Changes

We reserve the right to change prices at any time with reasonable notice. If you do not agree to new prices, you may cancel before the next billing cycle.

8.3 Cancellation

You may cancel your subscription at any time via your billing portal or by emailing vantageharbour@gmail.com. Access continues through the end of the paid billing period unless revoked for abuse or non-payment.

8.4 Refund Policy

We offer a 14-day money-back guarantee on all new subscriptions. If IntentFox does not deliver qualified leads to your Slack within 14 days of subscribing, email hello@intentfox.cloud for a full refund. Refunds are not available after the 14-day window has passed. 8.5 Failed Payments

If a payment fails, we may suspend or terminate your access to the Service until payment is received. We are not liable for any disruption caused by failed payments.

8.6 Taxes

Polar, as Merchant of Record, collects and remits applicable taxes on our behalf. Prices may be shown exclusive of tax depending on your jurisdiction.

9. Disclaimers and Limitation of Liability

9.1 "As Is" Service

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

9.2 No Results Guarantee

Lead quality, intent scores, and outreach drafts are probabilistic. We do not guarantee revenue, response rates, or uninterrupted availability. Your results may vary.

9.3 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, VANTAGE HARBOUR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES ARISING OUT OF YOUR USE OF THE SERVICE.

IN NO EVENT SHALL VANTAGE HARBOUR'S TOTAL LIABILITY EXCEED THE AMOUNT PAID BY YOU IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

9.4 Indemnification

You agree to indemnify and hold harmless Vantage Harbour, its officers, employees, and affiliates from any claims, liabilities, damages, or expenses (including reasonable attorneys' fees) arising out of your access to or use of the Service, your violation of these Terms, or your violation of any third-party rights.

10. Termination

We may suspend or terminate your account if you violate these Terms or engage in prohibited activities. You may close your account at any time by emailing hello@intentfox.cloud. Upon termination, you will immediately lose access to the Service. No refunds are issued upon termination. Payment obligations, liability limitations, indemnification, and intellectual property provisions survive termination.

11. General Provisions

11.1 Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and/or by email. Continued use of the Service after changes constitutes acceptance.

11.2 Governing Law

These Terms shall be governed by and construed in accordance with applicable law, without regard to conflict of law provisions.

11.3 Dispute Resolution

Any disputes arising out of or relating to these Terms or the Service shall be resolved through good-faith negotiation first, then binding arbitration if negotiation fails, except where prohibited by law.

11.4 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

11.5 Entire Agreement

These Terms constitute the entire agreement between you and Vantage Harbour regarding the Service and supersede all prior agreements and understandings.

11.6 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
